Duties + Responsibilities
As a corporate service clerk you will be responsible for:
- Preparation of Annual Return packages and accounts.
- Manually preparing documentation relating to:
- Trade names
- Notices of Change of Directors (extra-provincial; domestic, federal)
- Notices of Change of Registered Office
- Minute Book reviews and clean-up documentation
- Articles of Amendment and supporting documents
- Articles of Incorporation and organization documents – Alberta domestic/Federal, Societies, Non-Profits
- Articles of Dissolution and supporting documents
- Share Transfers and supporting documents
- Extra-provincial registrations in Alberta and other jurisdictions
- Reporting on registrations including preparing accounts
- Special projects
- CORES Level 1 and 2 registrations.
- Industry Canada – Corporations Branch filings and searches.
- Corporate searches- Alberta, Federal and other jurisdictions.
- ALF database entry and updates, running registers from ALF, Virtual minute book, etc.
- Alberta/Federal Society or Non-Profit entity maintenance.
- Reminders on outstanding matters including outstanding accounts.
- Updating client corporate group charts.
- Opening and closing files.
- Guiding Level 1 Corporate Service Clerks.
- Interaction and servicing lawyers, internal staff, and clients.
Qualifications + Skills
- Legal Assistant/Paralegal Diploma or related education is required.
- 5+ years’ experience working in a law firm or similar professional setting.
- Must have a strong understanding and extensive experience in CORES l Level work.
- CORES ll Certification is required.
- Advanced computer skills (picks up program navigation easily).
- Knowledge of ALF is required.
- Strong attention to detail.
