  • Legal Assistant, Wills, Estates + Trusts - Calgary

    • This is a role where you will work with a variety of our firm’s team members and will be responsible for completing a variety of tasks for lawyers doing work in the practice area of wills, estates and trusts.

       You must understand the importance of confidentiality in a professional setting and have great attention to detail. You are organized and able to focus on the task at hand.       Duties + Responsibilities

      • Booking appointments and managing of lawyer’s calendars.
      • Scheduling meetings and/or questioning and mediations.
      • Providing back-up for other assistants in their absence.
      • Entering lawyer’s time.
      • Billing, including client follow up on outstanding A/R.
      • Coordinating searches: Titles, encumbrances, plans, taxes & corporate.
      • Submitting/Filing documents (i.e., LTO, Courthouse).
      • Accessing online legal resources.
      • Responding to internal and external requests.
      • Meeting/liaising/reporting to clients.
      • Organizing documents and binders.
      • Ensuring file management system is kept current.
      • Submitting lawyer’s receipts for reimbursement.
      • Managing the diarization of important dates.
      • Overseeing the opening and closing of files as well as filing of physical documents.
      • Preparing letters and legal documents as well as amending and comparing.
      • Retrieving physical copies of wills/epa/pds; drafting and providing authorizations to release.
      • Estate litigation – Court filings, compiling and bookmarking affidavits/briefs/applications/orders for filing and service
      • Submissions; sending out releases; distributing the funds after everything is finalized to all listed beneficiaries; sending out reporting letters.
      • Introductory packages for new clients re estate planning matters – drafting and providing retainer letters and estate planning questionnaires; obtaining client contact information; explaining estate planning processes.
      • Other tasks as assigned 

      Qualifications + Skills

      • Recognized 2-year Legal Assistant Diploma.
      • Experience working in the wills & estates practice area.
      • Experience working in a litigation environment (WET area an asset) and filing Court documents.
      • Knowledge of the OPGT submissions and requirements an asset.
      • Advanced computer skills.
      • Excellent organizational skills with strong attention to detail.
      • Excellent follow-up and bring-forward skills.
      • Strong analytical skills and problem solving with minimal supervision.
      • Ability to prioritize effectively and handle high pressure deadlines.

  • Paralegal, Corporate Services - Yellowknife

    • Our Yellowknife office is seeking an experienced Paralegal to join the Corporate Services Department, working out of Edmonton or Calgary in support of our Yellowknife office. Reporting to the Manager, Corporate Services, this role involves collaborating closely with lawyers and corporate services professionals across the firm. The successful candidate will be responsible for independently managing a broad range of corporate transactions across the Northwest Territories, Yukon, and Nunavut, including general searches and registration services, incorporations, share structure amendments, share issuances, transfers and redemptions, amalgamations, extra-territorial registrations, director and officer changes, and the preparation of related searches and reports.

      Duties + Responsibilities

      • Manage the incorporation and organization of territorial and federal corporations, including societies and not-for-profit entities.
      • Act as a key resource to lawyers on corporate transactions, including amalgamations, plans of arrangement, reorganizations, continuances, and corporate amendments.
      • Oversee and coordinate extra-territorial registrations in the Northwest Territories, Nunavut and Yukon, and ensuring ongoing regulatory compliance.
      • Registration of Limited Partnerships, both domestic and extra-territorial, including ongoing filings and structural changes.
      • Prepare, review, and approve dividend resolutions and other corporate authorizing documents, exercising sound judgment and attention to corporate governance requirements.
      • Conduct comprehensive minute book reviews, identify deficiencies, and implement corrective actions to ensure accuracy and regulatory compliance.
      • Maintain oversight of corporate records by managing entries into corporate databases and document management systems, ensuring data integrity and consistency.
      • Work independently with minimal supervision while also providing mentorship, guidance, and quality control support within a team environment.
      • Other tasks as assigned 

      Qualifications + Skills

      • Completion of a paralegal diploma or certificate with a minimum 5 years’ experience as a corporate paralegal
      • Experience in all aspects of Northwest Territories, Nunavut, Yukon and Federal corporate work is required, Alberta CORES III work and accreditation is an asset.
      • Exceptional accuracy, discretion, and attention to detail while managing high volumes of work and complex, deadline-driven matters
      • Ability to prioritize and coordinate activities in a timely manner
      • Familiarity with a corporate database such as ALF is an asset

  • Legal Assistant, Business Law - Calgary

      • Preparing, amending, and comparing letters and legal documents
      • Answering calls, schedule appointments, book meetings, and handle administrative and business details
      • Manage lawyer’s electronic calendars
      • Review correspondence (e-mail), co-ordinate the flow of information and respond to routine inquiries
      • Overseeing the opening and closing of files
      • Searches for title, registered documents and plans
      • Ability to obtain legal description using SPIN II map, municipal maps and county ownership maps
      • Searches for corporations (provincial), societies, Part 9 companies, corporations (federal), limited partnerships and trade names
      • Ability to locate documents in minute book (either physical or in ALF) to send to client when requested or as required to append as schedules to other documents (eg. Appending articles and bylaws  as schedules to Officer’s Certificates)
      • Due diligence searches (including the following types of searches: property tax, bankruptcy, Bank Act, court (all levels and federal court).
      • SEDAR searches and filing.
      • Assistance with closing transactions (receipt and deposit of funds and sending funds (including by direct deposit or wire transfer), documents)
      • Draft transmittal letters enclosing documents 
      • Preparation of electronic closing books (bookmarked pdfs)
      • PPR Searches
      • PPR certification to do registrations, discharges and postponements
      • Provide back-up for other assistants in their absence
      • Review and proofread outgoing documents to ensure they are correct and comply with legal procedures
      • Access and use online legal resources
      • Ensuring file management system is kept current

      Qualifications + Skills

      • 2+ years of experience preferably working in the corporate/commercial/securities law practice area
      • Recognized 2-year Legal Assistant Diploma
