Cliff Johnson is an energy lawyer representing domestic and international corporations in complex oil and gas, alternative energy, environmental, corporate governance and dispute resolution matters in Canada and abroad. Based in Calgary, Cliff held management and economic evaluation positions with a major oil and gas corporation before he embarked on his legal career, gaining extensive, first-hand experience with all aspects of the industry, including regulatory compliance, international deals, exploration and production, upstream and midstream, offshore, and Arctic and frontier project evaluations.

Energy sector clients turn to Cliff for strategic guidance on complex transactions, including asset and share acquisitions and divestitures, joint ventures, co-generation, monetizing midstream assets, product purchase and sale, and transportation deals. Because of his inside-industry experience and years of involvement in energy law, Cliff has earned a reputation as a problem-solver who excels at managing complicated, technically challenging oil and gas transactions. For example, he was lead counsel for the sale of a Crown corporation with assets located offshore Nova Scotia which was involved in a joint venture with major international corporations. It was a complicated deal requiring the resolution of numerous issues to complete the sale. He was also lead counsel for a major Norwegian corporation in its foray into Canada through an offshore oil and gas asset swap arrangement and strategic alliance. Another challenging deal saw Cliff as lead counsel on the sale by a U.S. pipeline company under Chapter 11 Bankruptcy Protection of its Canadian subsidiary, which was at the time facing a multi-million dollar breach of contract action.

Cliff has been a frequent author and speaker on energy topics and industry trends. He has written/published/presented over 70 talks and papers, addressing complex subjects such as energy contracts, environmentally sensitive transactions, regulatory challenges, oil and gas operations, pipe-line right-of-way encroachments and environmental regulations in Alberta, among others.  He has been called to both the Alberta and England and Wales Bars and is the leader of Field's Energy Practice Group.

Value to Clients

"I understand the energy business and how the pieces fit together. Clients come to me with their complex, sometimes bet-the-farm problems, and I have the experience and knowledge to help them find effective solutions."

Cliff is a competitive snooker and billiard player, competing in local and international competitions. He also has a single-digit golf handicap. Cliff also enjoys traveling.
