Bob has a general corporate commercial solicitor’s practice which concentrates on strategic business advice, corporate restructuring, securities, commercial real estate and contract negotiation. He has acted as counsel to a number of real estate developers and other businesses with respect to corporate, business and securities transactions. Bob has had primary responsibility for transactions leading to the restructuring of major Canadian corporations. He has also participated in the completion of major transactions which have required innovative strategies and approaches involving difficult negotiations. He acted as lead counsel for the Province of Alberta in the negotiation of the Province's financing and repayment of the Alpac project as well as with respect to the exit of the Province from its investment in Vencap. Much of the work Bob has undertaken has been in various centres throughout Canada and the United States. Bob acted as counsel to Edmonton Telephones Corporation with respect to the sale of the company by the City of Edmonton. The initiative for the sale came from the Board of Ed Tel and Bob was intimately involved in developing the strategies for the sale and carrying them to completion. The sale resulted in the City of Edmonton receiving net proceeds of almost half a billion dollars. A significant part of Bob's practice involves giving advice and drafting new policies in various areas related to ethics, conflicts of interest and related matters for both for profit and not for profit entities and in particular agencies of or related to government. Bob has authored a chapter on Joint Ventures in Canada in the "Dow Jones Handbook of Joint Ventures". He is also the author of a chapter on corporate restructuring in "Case Studies in Recent Canadian Reorganizations" published by Carswell in honour of retired Justice Lloyd W. Houlden. He is a contributing editor to the Canadian Law Newsletter of the American Bar Association on corporate and commercial issues. |
